We continue to build on our City work and reputation and have so far this year, advised our long standing FTSE 100 client Capita plc on a number of significant acquisitions with a focus in the digital space. Acuity has advised Capita on three of the five acquisitions it has completed in the year to date and is currently advising Capita on other deals in its acquisition pipeline.
In January we acted on the acquisition of Brightwave Holdings Limited, an e-learning company specialising in designing learning solutions to improve business performance. The acquisition will be form an integral part of Capita’s overall learning services proposition.
The acquisition of Orange Bus Limited in March also strengthens Capita’s digital offering. We advised on the purchase of this award-winning digital agency with offices in Newcastle and London which will be merged with G2G3, Capita’s existing design agency. The acquisition should leave Capita ideally placed to help clients across both the public and private sectors to improve the use of digital channels to benefit their organisations and end customers.
June 2016 saw us advise on the acquisition of Health Analytics Limited, a Cambridge-based company whose specialist software uses clinical and financial information to support health and social care organisations to make more informed decisions about the care they deliver. Key software products include an innovative health care invoicing tool and care planning system which draws information from a variety of sources and supports the NHS Vision for a more holistic approach and single view of the patient.
We play a pivotal role for Capita in the acquisition process; identifying key legal and commercial issues at the outset, drafting and negotiating the share sale and purchase documentation and liaising with the business teams and other lawyers to ensure a smooth completion and post-acquisition transition.
