Professional Background

Natalie specialises in corporate advice and transactions and has experience advising clients in a variety of corporate transactions. This includes advising on acquisitions and disposals, equity investments and debt funding, investments, shareholders' arrangements, corporate governance and corporate restructures. She is a member of the firm’s specialist energy team and brings particular insight through her secondment with energy client Eco2 Limited.

Natalie also has expertise in advising on, drafting and negotiating a variety of commercial agreements including:-

  • terms and conditions for the supply of goods and services and supply agreements;
  • master services agreements;
  • outsourcing agreements;
  • management services agreements;
  • distribution agreements;
  • operations and maintenance agreements; and
  • a variety of IP and IT related arrangements including IP and software licencing agreements, hosting agreements, SAAS agreements and software maintenance agreements. 

Work Highlights

  • Advising and assisting on the disposal of several £160m+ new biomass power stations and wind projects ranging from single turbine ventures through to multi turbine wind farms.
  • Advises and assists FTSE 100 listed Capita Group on its extensive acquisition programme, completing multiple transactions in the last 12 months exceeding £85 million in value.
  • Assisted Wales Environmental Limited on two strategic acquisitions, which involved the provision of debt and equity funding by Finance Wales.
  • Providing on-going commercial legal advice to Dulas Limited and members of its group under a retainer arrangement. This involves reviewing, advising on and negotiating a wide variety of commercial agreements including agreements for services, framework agreements, management services agreement, operation and maintenance agreements and terms and conditions of sale. Natalie also delivered a bespoke training session for Dulas' project managers on commercial contact drafting in the later part of 2015.
  • Providing on-going commercial legal advice to Progressive Technology Solutions Limited under a retainer arrangement. This involves reviewing, advising on and negotiating a wide variety of IT and IP related contracts, including software licencing agreements, software maintenance agreements, distribution agreements and hosting agreements.
  • Acted for ITEC Training Solutions Limited in its acquisition of The Centre for Strategy and Communication, an Islington-based management training company. The acquisition will establish a launch-pad for expansion in the south-east by the South Wales based training company.  The acquisition of the blue-chip trainer in London is ITEC's first step towards building a national commercial arm to sit alongside its substantial government-funded activities. Natalie advised on and negotiated the sale documentation and undertook the due diligence exercise.

Education

Natalie was educated at Cardiff University and Cardiff Law School. She joined Acuity in 2009.
